SHATRA SERVICE PROVIDER AGREEMENT

Effective Date: The date on which the Provider accepts this Agreement electronically.

This Service Provider Agreement (“Agreement”) is entered into between Shatra Services (“Shatra”, “Company”, “Platform”) and the individual or business entity creating an account and accepting this Agreement (“Provider”).

By creating an account, clicking “I Agree,” or using Shatra's services, the Provider confirms acceptance of this Agreement.

1) Definitions

  • “Customer”: person/business booking services through Shatra.
  • “Services”: interior decoration services offered by Provider, such as painting, feature walls, TV wall builds, and minor interior enhancements.
  • “Job”: a service request accepted/completed by Provider through Shatra.
  • “Platform Fee”: a 20% fee charged by Shatra on each completed Job for use of the Platform, including customer acquisition, job management, and support services.

2) Independent Contractor Relationship (NOT Employment)

  1. Provider is an independent contractor and not an employee, agent, partner, or joint venturer of Shatra.
  2. Provider confirms they:
    • control how they perform the Services,
    • may offer services to other clients/platforms,
    • bear business expenses and risks consistent with self-employment. (This aligns with CRA’s general indicators for self-employed relationships.)
  3. Shatra does not provide:
    • wages/salary
    • benefits
    • Paid vacation
    • CPP/EI withholding

3) Provider Eligibility and Compliance

Provider represents and warrants that they:

  1. Are legally entitled to work and provide services in Canada.
  2. Will comply with applicable laws and regulations (municipal/provincial/federal).
  3. Will obtain and maintain any required permits, certifications, or approvals for the Services they provide.

4) Insurance (Provider) and Safety

  1. Provider must maintain commercial general liability insurance appropriate to the Services and provide proof upon request.
  2. Provider is responsible for jobsite safety and safe work practices.
  3. Provider will immediately report any accidents, injuries, or property damage related to a Job to Shatra.

5) Taxes, GST/HST, and Records (Provider Responsibility)

  1. Provider is solely responsible for all taxes arising from amounts paid to Provider, including income tax and any applicable GST/HST obligations.
  2. Shatra does not withhold income tax or payroll deductions.
  3. Provider acknowledges the small supplier GST/HST rule and that GST/HST registration becomes mandatory once taxable revenues exceed $30,000 in a single calendar quarter or over four consecutive calendar quarters (as applicable to Provider).
  4. Provider will maintain accurate records (invoices, receipts, and job records) required for tax reporting.

6) Platform Payments to Provider

  1. Payment Flow: Customer pays Shatra. Shatra pays Provider the Provider Amount (Job price minus Platform Fee and any adjustments).
  2. Provider Amount: The Provider Amount equals the Job price minus a 20% Platform Fee. The exact payout will be clearly shown to the Provider before accepting each Job.
  3. Payment Schedule: Shatra pays Provider on: [daily/weekly/bi-weekly] to the payment method on file (e-transfer or bank deposit).
  4. Refunds/Chargebacks/Adjustments: If a refund or chargeback occurs for a Job, Shatra may:
    • offset the amount from Provider’s future payouts, or
    • request repayment where necessary,
    When the issue is reasonably connected to Provider performance, non-delivery, or breach.
  5. Payment Processing: Payments are processed through secure third-party providers. All fees are included within the Platform Fee, and no additional hidden charges will be deducted from the Provider beyond what is shown before Job acceptance.

7) Service Standards and Quality

  1. Provider must deliver Services:
    • professionally,
    • on time,
    • using reasonable skill and care,
    • consistent with Shatra quality guidelines.
  2. Shatra may require:
    • before/after photos (where appropriate),
    • proof of completion,
    • a basic checklist sign-off for certain job types.
  3. Rework: If Customer reports a reasonable deficiency, Provider agrees to cooperate on a rework visit where appropriate.

8) Scheduling, Cancellations, No-Shows

  1. Provider must honor confirmed appointments.
  2. Provider cancellations/no-shows harm platform trust; Shatra may impose platform penalties such as:
    • lower ranking visibility
    • temporary suspension
    • removal for repeated issues
  3. Customer cancellations: Shatra may apply cancellation policies and pay the Provider a partial fee if applicable; details will be reflected in the Provider dashboard/policies.

9) Customer Communications and Conduct

  1. Provider will communicate respectfully and professionally.
  2. Provider shall not:
    • harass/discriminate
    • use threatening behavior
    • solicit cash payments outside the platform for platform-sourced customers

10) Non-Circumvention (Anti-Bypass)

  1. Provider agrees not to bypass Shatra by taking Shatra customers “off platform” for the same services introduced through Shatra, during the term of this Agreement and for 12 months after the last platform job with that customer.
  2. Breach may result in removal and recovery of losses.

11) Ratings, Reviews, and Portfolio

  1. Provider acknowledges customers may leave ratings/reviews.
  2. Provider grants Shatra permission to display:
    • portfolio photos submitted by Provider
    • job photos (with customer consent where required)
    for marketing and platform trust purposes.

12) Confidentiality and Data

  1. Provider must keep confidential:
    • Shatra pricing rules
    • internal policies
    • customer personal information
  2. Provider may only use customer info to complete the Job and must not store or reuse it for unrelated marketing.

13) Suspension and Termination

  1. Either party may terminate at any time with notice.
  2. Shatra may suspend/remove Provider immediately for:
    • fraud or theft
    • safety issues
    • repeated poor quality
    • harassment
    • platform bypass
    • serious breach of this Agreement

14) Limitation of Liability

  1. Shatra provides the Platform “as is” and is not liable for indirect or consequential losses (to the extent allowed by law).
  2. Provider remains responsible for Provider’s workmanship and conduct.

15) Indemnity

Provider agrees to indemnify and hold Shatra harmless from claims, damages, and costs arising from Provider’s:

  • negligence
  • misconduct
  • breach of this Agreement
  • unlawful acts
  • property damage or injury caused by Provider

16) Governing Law

This Agreement is governed by the laws of: Ontario, Canada.

17) Notices

Notices may be provided via:

  • email on file
  • platform notifications

18) Entire Agreement

This Agreement and the Shatra platform policies form the entire agreement. If a policy conflicts, Shatra may update policies with notice through the platform.

Provider agrees to this Agreement electronically by clicking “I Agree” or by providing services through Shatra.
